Payment Terms

1. Scope

These Payment Terms apply when you use the optional integrated payments feature, including when you:

• Use integrated payments to collect payments from your own clients (for example, invoice payments and ticketing); or
• Pay platform subscription fees for the Services.

Payments are processed by Stripe, Inc. ("Stripe"). Integrated payments are an optional feature, and you are not required to enable them to use the Services.

2. Stripe Connected Account

To accept payments through the Services, you must set up a payment account with Stripe. By enabling integrated payments, you acknowledge and agree that:

• You must create a Stripe account and a Stripe Connected Account in order to accept payments through the Services.
• You must agree to, and comply with, the Stripe Connected Account Agreement and the Stripe Services Agreement, which govern your relationship with Stripe.
• You are responsible for providing accurate, complete, and current information to Stripe and for keeping that information up to date.
• You are responsible for complying with Stripe's terms and with all applicable card-network rules.

3. Our Role

The Services facilitate payments through Stripe, but we do not process or hold funds. Specifically:

• Ovation is not a bank, payment processor, or money transmitter.
• Ovation does not hold or disburse funds.
• Stripe processes transactions and disburses funds (payouts) directly to your Stripe Connected Account.

4. Platform Fees

When you use integrated payments to collect payments from your own clients, we charge the following platform fees:

• Invoice payments: A platform fee of 1% of the processed amount, up to a maximum of $400 per month.
• Ticketing: A platform fee of $0.98 per ticket for tickets priced at $5.00 or more; no platform fee for tickets priced under $5.00.

Platform fees are separate from, and in addition to, Stripe's processing fees described in Section 5.

5. Processing Fees and Surcharging

In addition to our platform fees, Stripe charges its own processing fees. You acknowledge and agree that:

• Stripe's own processing fees apply to transactions and are separate from our platform fees.
• Where you enable fee passthrough or surcharging, some or all of these fees may be added to the amount the payer pays.
• You are solely responsible for compliance with surcharging laws and card-network surcharge rules in your jurisdiction.

6. Refunds, Disputes, and Chargebacks

You are responsible for the financial and customer-service obligations associated with your transactions, including:

• Handling refunds, customer service, disputes, and chargebacks for payments you collect through the Services.
• Any fees, reversals, or losses associated with refunds, disputes, or chargebacks.

7. Taxes

You are responsible for taxes related to your transactions, including:

• Determining, collecting, and remitting all applicable taxes on your transactions.

8. Changes to Fees

We may change our platform fees from time to time, as follows:

• Ovation may change platform fees on reasonable notice, as described in the Terms of Service (Section 5).
• Your continued use of integrated payments after the effective date of a change constitutes your acceptance of the updated fees.
